Terms of use.

01Definitions

In this document the following words carry the following meanings.

• "We", "us" and "our" mean ACE Intelligence, operating from Amsterdam, the Netherlands and Dubai, United Arab Emirates.
• "Site" means this website and every page, asset and file served from it.
• "You" means anyone who accesses the Site, whether on their own behalf or for an organisation.
• "Engagement" means a written agreement signed between us and a firm governing work we carry out for it.
• "Content" means all text, images, footage, drawings, layout, code, marks and data made available on the Site.

02Acceptance

By accessing the Site you accept these terms in full. If you do not accept them, do not use the Site.

If you access the Site on behalf of an organisation you confirm that you have authority to bind that organisation, and these terms bind it as well as you.

You must be at least 18 years old to use the Site. It is addressed to businesses and is not directed at children.

03What these terms cover, and what they do not

These terms apply to the Site and to nothing else. They do not create any relationship between us beyond your reading of a website.

Where an Engagement exists between us and your firm, that Engagement governs the work, the service levels, the data handling, the commercial terms and the liabilities arising from any of it. Where an Engagement and these terms conflict on any point, the Engagement prevails in respect of that work.

Nothing in these terms limits or varies an Engagement, and nothing in an Engagement is affected by a change to this page.

04Nothing on this Site is an offer

All Content is descriptive and for general information. It is not an offer capable of acceptance, a quotation, a proposal, or a commitment to contract with any person.

No contract comes into existence between us by your use of the Site, by your sending us a message, or by our replying to one. A relationship begins only on signature of an Engagement.

Statements on the Site about how we work, what we build and what it achieves describe our general practice. They are not representations or warranties about what will be achieved in any particular firm, and they are not incorporated into any contract.

05Founding seats, and places in a market

We work with a limited number of firms in each market. Statements on the Site about founding partners, founding seats, founding desks or limited places describe how we choose to operate. They are not a promise to any person that a place is available, that they will be invited, or that a place will be held open.

We may decline to enter into discussions, may end discussions at any time before signature, and are under no obligation to give reasons. Where the Site refers to a seat being taken or a market being closed, that is a statement of our commercial position at the time of publication and may change without notice to anyone.

06Forward-looking statements

Parts of the Site describe intentions, plans and expectations. Those statements speak only as at the date of publication, involve assumptions that may prove wrong, and are not undertakings. We are under no obligation to update them, and you should not rely on them in making any decision.

07No advice

Nothing on the Site is legal, notarial, regulatory, tax, financial or investment advice, and nothing on it should be treated as a substitute for professional advice on your own circumstances.

References on the Site to regulated professions and their procedures describe what a Brain can hold and prepare. They are not advice on compliance, they do not discharge any obligation you have, and responsibility for compliance remains yours.

08Intellectual property

All Content is owned by us or licensed to us, and all rights in it are reserved. Nothing on the Site transfers any right in it to you.

The ACE Intelligence name, the ACE mark and our get-up are ours. You may not use them, or anything confusingly similar, without our prior written consent, and you may not use them in a way that suggests an association, endorsement or partnership that does not exist.

Photography on the Site is used under the Unsplash Licence. The Brain names appearing on the Site, including VANTAGE, THESIS, ATTEST, COUNSEL, MANDATE and UNIVERSE, are ours.

09What you may do with the Site

We grant you a limited, personal, revocable, non-exclusive and non-transferable licence to access the Site and to view and print individual pages for your own business assessment of whether to approach us.

You may quote short extracts with clear attribution to ACE Intelligence and a link to the page quoted. Every other use requires our prior written consent.

10What you may not do

You may not do, or attempt, any of the following.

• Reproduce, republish, redistribute, sell, licence or exploit any Content commercially, in whole or in substantial part.
• Use any automated means, including robots, spiders, scrapers or harvesting means, to access, copy or monitor the Site, other than a search engine operating in the ordinary course and observing our robots directives.
• Carry out text or data mining on the Site, or use any Content to train, fine-tune, evaluate or ground any machine learning system. We expressly reserve all rights in respect of text and data mining, and this reservation is made for the purposes of every law that permits such a reservation.
• Access the Site at a rate or in a manner that impairs it or degrades it for anyone else.
• Attempt to gain unauthorised access to the Site, to any server or account connected with it, or to probe, scan or test its security.
• Introduce any virus, worm, logic bomb or other material that is malicious or technologically harmful.
• Remove, obscure or alter any copyright, trade mark or other proprietary notice.
• Use the Site in breach of any applicable law, or for any unlawful, fraudulent or misleading purpose.
• Frame, mirror or present the Site in a way that misrepresents its origin.

11Anything you send us

The Site asks you only for what the contact form requests, and that form sends its message through your own mail application. Whatever you send us, by that route or any other, you confirm that you are entitled to send it and that it does not infringe anyone's rights, and you accept that we cannot treat unsolicited material as confidential unless we have agreed in writing to do so.

Where you send us an idea or suggestion about our work, you agree that we may use it without restriction and without any obligation to you. This clause does not apply to information exchanged under a signed non-disclosure agreement, which is governed by that agreement.

12Availability

The Site is made available as it is and as it is available. We do not warrant that it will be available at any particular time, that access will be uninterrupted or error free, that defects will be corrected, or that the Site or the server that makes it available are free of anything harmful.

We may change, suspend, withdraw or restrict all or part of the Site at any time, without notice and without liability.

13Disclaimer of warranties

To the fullest extent permitted by law, all conditions, warranties, representations and other terms which might otherwise be implied by statute, common law or otherwise are excluded from these terms.

Without limiting that, we make no warranty and give no undertaking that the Content is accurate, complete, current or fit for any purpose. The Content may contain errors and omissions and may become out of date.

Nothing in this section limits any liability that cannot lawfully be limited or excluded.

14Limitation of liability

To the fullest extent permitted by law we exclude all liability arising out of or in connection with the Site, its use, its unavailability, or reliance on any Content.

In particular, and without limitation, we are not liable for loss of profit, loss of revenue, loss of business, loss of contracts or opportunity, loss of anticipated savings, loss of goodwill, loss or corruption of data, business interruption, or for any indirect, special, incidental, consequential, exemplary or punitive loss, whether or not we were advised of its possibility and whether the claim arises in contract, tort including negligence, breach of statutory duty or otherwise.

Where liability cannot lawfully be excluded, our total aggregate liability arising out of or in connection with the Site is limited to one hundred euros.

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited.

15Indemnity

You will indemnify us against every loss, liability and cost we incur arising out of your breach of these terms or your unlawful use of the Site, including reasonable legal costs, except to the extent the loss arises from our own breach of these terms.

16Third-party sites

The Site may link to websites we do not control. A link is not an endorsement. We are not responsible for the content, policies or practices of any third-party site, and your use of one is at your own risk and subject to its terms.

17Suspension of access

We may suspend or end your access to the Site at any time, without notice, where we reasonably believe you have breached these terms or where doing so protects the Site or anyone who uses it. The sections of these terms that by their nature should survive, including intellectual property, liability and indemnity, survive.

18Privacy

How we treat personal data in connection with the Site is set out in our privacy policy, which forms part of the picture but is a separate document.

19Events outside our control

We are not liable for any failure or delay caused by an event outside our reasonable control, including failures of networks, hosting or power, acts of authority, and any other event that could not reasonably have been avoided.

20Changes to these terms

We may change these terms at any time. The date at the top of this page changes with them, and the version published at the time of your visit is the version that applies to it. If you use the Site after a change, you accept the changed terms.

21General

If any provision of these terms is found invalid or unenforceable, the remainder stands. A failure to enforce a provision is not a waiver of it. You may not assign your rights under these terms; we may assign ours to a successor of our business. These terms are the entire agreement between us about the Site, and nothing in them creates any partnership, agency or employment between us.

22Governing law and jurisdiction

These terms, and any dispute or claim arising out of or in connection with them or the Site, are governed by the law of the Netherlands, and the courts of Amsterdam have exclusive jurisdiction, except that we may enforce our intellectual property rights in any competent court.
